It has not been reviewed by a lawyer and must not be treated as legal sign-off. Keyfolio should not launch to real users, or process real payments, until a qualified Australian lawyer has reviewed and approved a final version of this document.

Sections marked "FAIRNESS FLAG" below have been specifically identified as worth a second look for unfair contract terms under the Australian Consumer Law (which, since November 2023, also protects small business contracts -- exactly the profile of most agents using Keyfolio). Three previously-flagged issues (price-change notice, account termination symmetry, and the changes-to-terms notice period) have since been given concrete resolutions in the text below. One remains flagged -- the liability section -- because it needs an actual lawyer's judgment on ACL scope, not a copy edit.

Terms of Service

1. What Keyfolio is

Keyfolio is a marketplace operated by MYM Group (ABN 52 203 327 554) connecting homeowners in Victoria, Australia with real estate agents. Keyfolio currently operates in Victoria only; listings and agent service areas outside Victoria are not supported.

Keyfolio is not a real estate agency, does not hold a real estate license itself, and is not a party to any sale, lease, or property management agreement homeowners and agents enter into. Keyfolio provides the platform that connects the two sides and takes no commission on property transactions. Keyfolio does not conduct or facilitate property settlement, hold or handle sale proceeds, or act as an escrow or trust account for any transaction between a homeowner and an agent.

2. Accounts and roles

Keyfolio accounts are one of three types: homeowner, agent, or platform administrator. You must provide accurate information when creating an account, including your name and email address.

Agents must provide a real estate agent's license number at sign-up. At this stage, that number is recorded but is not yet verifiedagainst the Consumer Affairs Victoria agent register or any other regulator. Verification against that register is planned for a future update. An unverified license number does not confirm that an agent is actually licensed, and homeowners should independently satisfy themselves of an agent's credentials until real-time verification is in place.

Agents also confirm, at sign-up, that they are meeting their own AML/CTF obligations as a real estate professional, where applicable. This confirmation is a record of the agent's own attestation -- it is not a determination by Keyfolio of what those obligations are, or independent verification that they've been met.

Keyfolio may suspend or reactivate an account where we reasonably believe these Terms have been breached, fraudulent information has been provided, or suspension is otherwise necessary to protect the platform or its users. Suspension blocks sign-in and the ability to submit new listings, proposals, or messages; it does not delete your data.

3. How listing and contact information is shared

This section describes what actually happens in the product today, not a general statement of intent. See the Privacy Policy for the full account of what's collected and disclosed.

  • Once a homeowner's listing goes live and is verified, its full street address and postcode are visible to any licensed agent browsing listings on Keyfolio. Prior to that point, the listing is visible only to the homeowner (and to Keyfolio administrators for support and moderation purposes).
  • Before a listing can go live, a homeowner must upload a Section 32 (Vendor's Statement) and a title search, which an administrator reviews to confirm the homeowner actually owns the property. These documents are not shared with any agent until that agent's proposal has been accepted.
  • Before a proposal is accepted, agents can see a listing's full address, postcode, property type, size, and the homeowner's notes -- but never the homeowner's phone number or their uploaded ownership documents.
  • A listing accepts proposals from at most three agents at a time.
  • Once a homeowner accepts one agent's proposal, that specific agent gains access to the homeowner's contact phone number (if provided) and their uploaded ownership documents (Section 32 and title search), and the homeowner is shown that agent's phone number. All other proposals on that listing are automatically declined at the same time, and those agents are notified that their proposal was not selected.
  • A homeowner can message any agent who has an active proposal on their listing, not only the accepted one. Messages in a conversation are only ever visible to the homeowner and the one agent in that conversation -- never to other agents, and never between agents.
  • Which live listings an agent sees by default is based on the postcode(s), state, and property categories that agent has set on their own profile; agents can also choose to browse every live listing on the platform, but can only submit a proposal on a listing that matches their own stated service area and categories.
  • Once a homeowner marks a completed engagement as finished, they may leave a public star rating and written review of the agent. Reviews are visible on the agent's public profile page to anyone, including people without a Keyfolio account.

4. Agent subscriptions and payments

Agents access Keyfolio's lead-matching features through a paid monthly subscription (Starter, Pro, or Elite), which determines how many new leads an agent gets matched to each calendar month and which platform features are available to them.

All payments are processed by Stripe, Inc., a third-party payment processor. Keyfolio does not collect or store your full card details -- these are provided directly to Stripe through Stripe's own checkout flow. Keyfolio receives and stores only your subscription status, plan, and a Stripe customer/subscription reference number, which are used to enforce plan-based feature limits. Stripe's handling of your payment information is governed by Stripe's own privacy policy, not this document.

Subscription upgrades, downgrades, and cancellations are handled through Stripe's customer billing portal, linked from an agent's Billing page.

If Keyfolio changes the price of a subscription plan, agents on that plan will be given at least 30 days' written notice (by email) before the new price takes effect. An agent who doesn't want to accept the new price can cancel their subscription at any time before it takes effect, with no penalty for cancelling.

5. Acceptable use

You must not use Keyfolio to submit false or misleading listing or proposal information, misrepresent your identity or license status, attempt to bypass the access controls described in section 3, or use the platform for any unlawful purpose.

6. Termination

You may stop using Keyfolio and close your account at any time by contacting support@keyfolio.com.au. Closing your account deactivates it (you can no longer sign in, and your subscription, if any, is cancelled) -- it is a manual request handled by our team, not an automated in-product action, and we aim to action it within a reasonable period. Deactivating an account does not itself delete your data; see the Privacy Policy for how to request deletion of your personal information. Keyfolio may suspend or terminate an account for the reasons described in section 2, or where a subscription payment fails and isn't resolved within a reasonable period.

7. Liability

Keyfolio provides a platform for homeowners and agents to connect and exchange information -- it is not a party to, and has no liability arising from, the actual sale, lease, property management agreement, or any other arrangement a homeowner and agent enter into with each other. Keyfolio does not vouch for the accuracy of listing information a homeowner submits or the accuracy of proposal information an agent submits.

FAIRNESS FLAG

A liability clause needs care on two fronts under the ACL: (1) it cannot exclude guarantees that can't lawfully be excluded (e.g. consumer guarantees under the ACL, to the extent they apply to services Keyfolio itself actually provides -- the platform/matching service, not the underlying real estate transaction); and (2) an overly broad disclaimer ("Keyfolio is not liable for anything, ever, for any reason") is itself a common unfair-contract-term target. This section has been kept narrow and specific (limited to the transaction between homeowner and agent, which Keyfolio genuinely isn't a party to) rather than a sweeping catch-all, but a lawyer should confirm that's the right scope and that nothing here overreaches into excluding a non-excludable guarantee.

8. Governing law

These Terms are governed by the laws of Victoria, Australia, and any dispute arising from them is subject to the non-exclusive jurisdiction of the courts of Victoria.

9. Changes and contact

Keyfolio may update these Terms from time to time. For a material change -- one that meaningfully reduces your rights or increases your obligations -- we'll email registered users at least 30 days before the change takes effect. If you don't agree with a material change, you can close your account under section 6 before it takes effect. Continued use of the platform after a change takes effect means you accept the revised Terms. Non-material changes (e.g. clarifications, typo fixes) may take effect without advance notice.
